•keepconfidentialallConfidentialInformationprovidedbytheCompanyorotherwiseobtainedbytheVendor;and
•notdisclosetheConfidentialInformation,withouttheCompany'spriorwrittenapprovalasagreedtobybothparties.
Specificobligations
1.2TheVendormustnot:
•useorallowanypersontouseConfidentialInformationforanypurposeotherthanforprovidingtheServices;
•discloseorinanywaycommunicatetoanyotherpersonanyConfidentialInformation,exceptasauthorisedandagreedtobybothparties;
•allowanyunauthorisedpersontohaveaccesstoplaceswhereConfidentialInformationisdisplayed,reproducedorstored;or
•makeorassistanypersontomakeanyunauthoriseduseof
ConfidentialInformation.
Vendor'sdirectors,employeesandagents
1.3TheVendormust:
•ensurethatConfidentialInformationisdisclosedonlytothoseoftheVendor/Sub-Vendors,directors,employeesoragentswhoneedtheinformationforthepurposeofprovidingtheServices.andthenonlytotheextentthattheyneedit;
•causeallofitsdirectors,employeesandagentswhohaveorarelikelytohaveaccesstoanyoftheConfidentialInformationtoobservealltheobligationsofconfidentialityunderthisclause:and
•useeveryefforttolimitthenumberofitsdirectors,employeesandagentswhohaveaccesstoanyoftheConfidentialInformation.
PublicStatements
1.4TheVendorshallnot:
•makeanypublicstatementsorreleasestothemediaconcerningtheServicesorthisContract;or
•giveanyundertakingstoordiscloseordiscussanyaspectoftheServicesorthisContracttoorwithanygovernmentdepartment,agencyorstatutoryauthority,withoutthepriorwrittenapprovaloftheCompany.
