Theundersignedpersonorentity(“Seller”),forvaluereceived,herebyrepresentsandagreesasfollows:

1.ThearticlescontainedinanyshipmentordeliverymadebySeller,itssubsidiariesordivisions(a“Product”)madetoorontheorderofSeabrookBrothers&Sons,Inc.,itssubsidiaries,affiliatesordivisions(collectivelyreferredtoas“Buyer”)isherebyguaranteed,asofthedateofsuchshipmentordelivery,(a)tonotbeadulteratedormisbrandedwithinthemeaningoftheFederalFood,DrugandCosmeticAct(the“Act”),(b)tonotbeanarticlewhichcannotbeintroducedintointerstatecommerceundertheprovisionsofSections404and505oftheAct,and(c)tobeincompliancewithallapplicablefederal,stateandlocallaws.

2.Selleragreestodefend,indemnifyandholdharmlessBuyeranditsemployees,agentsrepresentatives,directorsandcustomers(Individually,an“Indemnitee”)fromallaction,suits,claims,demandsandproceedings,(“Claims”),andanyjudgments,damages,losses,debts,liabilities,penalties,fines,costsandexpenses(includingreasonableattorney’sfees)resultingtherefromwhetherarisingoutofcontract,tort,strictliability,misrepresentation,violationofapplicablelawand/oranycausewhatsoever:(i)broughtorcommencedbyfederal,stateorlocalgovernmentalauthoritiesagainstanyIndemniteeallegingthatanyProductshippedorsoldbySellertoorontheorderofBuyerdidnot,asofthedateofdelivery,meettheguarantysetforthinParagraph1;or

(ii)broughtorcommencedbyanyemployee(statutoryorother),agent,representative,officeranddirectorofSelleroritscontractorsandsubcontractorsforpersonalinjury,deathorlossordamageofpropertyarisingoutoforallegedtohavearisenoutanyoccurrenceorallegedoccurrenceonowned,leased,permanent,ortemporarypropertyorpremisesofBuyer,whetherornotsuchClaimsarecausedorallegedtobecausedbythejointand/orconcurrentnegligenceofBuyer;provided,however,thatSeller’sindemnificationobligationshereundershallnotapplytotheextentthatClaimsarecausebythesolenegligenceofBuyer;or,

(iii)broughtorcommencedbyanypersonorentityagainstanyIndemniteefortherecoveryofdamagesfortheinjury,illnes
