TERMSOFPAYMENT

(Procedure)

1.AllpaymentsfortheGoodsdeliveredunderthepresentContractwillbeaffectedinUSD.

2.PaymentfortheGoodsdeliveredunderthepresentContractshallbesecuredbyissuingofirrevocable,covered,revolvingLetterofCreditfacevalueequaltothecostoftwomonthlydeliveryintheSeller'sbank.Unlessotherwiseagreed.

2.1.Within2(two)bankingdaysafterthepresentContractsigning,theSeller'sBankshallprovidetoBuyer'sBankinwritingtheProofofProductaswellasPre-advisefor2%PerformanceBond.Unlessotherwiseagreed.

2.2.Buyer'sBankbybankingcommunicationwindowshallpresenttotheSeller'sBankthePre-adviseL/C(irrevocable,documentary,revolvingLetterofCreditforthecostoftwomonthsdelivery).

2.3.Seller'sBankwithin5(Five)bankingdaysafteritem2.2.isfulfilledshallissuetotheSeller'sBanknon-operative2%PerformanceBond.Unlessotherwiseagreed.

2.4.Within2(two)bankingdaysafterexecutionoftheaboveClause2.3.,theBuyer'sBankwillissueinfavoroftheSelleranIrrevocable,Revolving,DocumentaryLetterofCredit(LC)coveredtwomonthshipmentcost.PerformanceBondbecomeoperative.

3.PaymentfortheGoodswillbeeffectedbydirecttelegraphictransferagainstpresentationofthefollowingdocuments:

3.11/2Commercialinvoicedulysignedintriplicateshowingnetloadedquantityinmetrictons(B/Lquantity);

3.2.CertificateofOriginoftheGoodsinoriginal.

3.3.CopyofcargomanifestsignedandstampedbyMaster.

3.4.3/3originalcleanonboardmarineBillsofLadingplus3(Three)nonnegotiablecopies.Clean'onboard'andnegotiableissued,unlessotherwiseagreed,inthefollowingformat:

EachoriginalB/LtobeoriginallysignedbytheMasterandshowingvesselsstamp;

3.5.OriginalofCertificateofQualityissuedby

independentinspectorsatloadingport;

3.6.OriginalofCertificateofQuantityissuedbyindependentinspectorsatloadingportevidencingnetloadedmetrictons.Theweightshow,willbetheweightshownintheBillofLading,andwillbeconclusiveandbindinguponbothBuyerandSeller;
